Terms of Service

Please read these terms carefully before using MsgCRM. By using our platform, you agree to these terms.

Important: These Terms of Service ("Terms") form a legally binding agreement between you and RadhaMadhav WebStore LLP ("MsgCRM", "we", "us"). By accessing or using MsgCRM, you agree to these Terms. If you do not agree, do not use our platform.

1. Acceptance of Terms

By creating an account, accessing, or using MsgCRM in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy. These Terms apply to all users, visitors, and others who access or use the platform.

2. Description of Service

MsgCRM is a cloud-based SaaS (Software as a Service) platform that provides WhatsApp CRM, AI chatbots, bulk messaging, CRM pipeline management, invoicing, live chat, and 50+ automation modules. The service is operated by TheWebStore028 (RadhaMadhav WebStore LLP), Thane, Maharashtra - 421204, India.

You agree to use MsgCRM only for lawful purposes. You may NOT use our platform to:

⚠️ WhatsApp Compliance: MsgCRM integrates with the official WhatsApp Business API. You are solely responsible for ensuring all your messaging activities comply with Meta's WhatsApp Business Policy. Violation of WhatsApp's policies may result in your WhatsApp number being banned by Meta, which is outside our control. MsgCRM will not be held liable for such bans.

7. Intellectual Property

MsgCRM and all its components — including the software, design, logo, trademarks, content, and documentation — are the exclusive property of RadhaMadhav WebStore LLP. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for your own business purposes during your subscription.

You retain ownership of all content and data you upload or create using the platform (your "User Content"). By using MsgCRM, you grant us a limited licence to process, store, and display your User Content solely to provide the service to you.

8. Data & Privacy

Our handling of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using MsgCRM, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services & Integrations

MsgCRM integrates with third-party services including WhatsApp Business API (Meta), OpenAI, Google, Razorpay, Shopify, and others. Your use of these integrations is subject to the respective third parties' terms of service. MsgCRM is not responsible for the availability, accuracy, or actions of third-party services.

10. Service Availability & Uptime

We strive to maintain 99.9% uptime for the MsgCRM platform. However, we do not guarantee uninterrupted, error-free service. Scheduled maintenance windows will be communicated in advance when possible. We are not liable for downtime caused by third-party service providers (e.g., WhatsApp API outages, cloud provider issues).

To the maximum extent permitted by applicable law:

You agree to indemnify and hold harmless MsgCRM, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third party's rights; (d) any content you transmit through the platform.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you violate these Terms, engage in illegal activity, or fail to pay applicable fees. Upon termination, your access to the platform will cease and your data will be retained for 90 days before deletion (unless you request earlier deletion).

14. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of MsgCRM shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of courts in Thane, Maharashtra, India.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 2 days before the change takes effect. Your continued use of MsgCRM after the effective date constitutes acceptance.
